Terms of Service

GenusOS is operated by GenusOS, LLC, a Texas limited liability company ("Company," "we," "us," or "our"). GenusOS, LLC is a subsidiary of Pathway Financial, LLC. The GenusOS platform and underlying technology are owned by Entity Edge IP, LLC, a Delaware limited liability company, and licensed to GenusOS, LLC for operation and distribution.

By creating an account, clicking to accept, or otherwise accessing the Service, you confirm that you are at least 18 years of age, have read and understood these Terms, and have the legal authority to enter into a binding agreement on your own behalf or on behalf of the organization you represent. If you are acting on behalf of a business entity, that entity is also bound by these Terms.

We may update these Terms from time to time. If we make material changes, we will notify you via the platform or email at least 14 days before changes take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.

3.1 What GenusOS Provides

GenusOS is a cloud-based family office command center that provides advisory firms and their client families with tools for entity management, initiative and project tracking, document management, financial modeling, compliance workflow management, team collaboration, meeting intelligence, and a white-labeled client portal. The specific features available to you depend on your Subscription plan.

3.2 For Advisory Firms

Advisory firms, registered investment advisors, multi-family offices, single family offices, and similar professional entities ("Firms") may subscribe to the Service to manage their practice and serve their client families. Firms are responsible for ensuring their use of the Service complies with all professional obligations and applicable regulations, including those administered by the SEC, FINRA, and applicable state regulators. GenusOS is a technology platform. Nothing in the Service constitutes investment advice, tax advice, legal advice, or financial planning guidance of any kind.

3.3 For Family Clients

Families and individual clients may access the Service through a portal provided by their Firm or, in certain cases, directly through Company. Clients acknowledge that GenusOS is a technology platform and does not itself provide financial, legal, or investment advisory services.

3.4 White-Label Deployments

Certain Subscription tiers allow Firms to deploy the Service under their own brand. Firms utilizing white-label features remain fully responsible for their clients' use of the Service and must ensure their deployment complies with applicable professional conduct and disclosure requirements.

3.5 AI-Powered Features

The Service includes AI features including meeting summarization, voice transcription, note generation, and conversational AI assistance. These features are productivity tools only. AI-generated content may contain errors or omissions. You are solely responsible for reviewing AI-generated outputs before relying on them. Nothing produced by AI features within the Service constitutes professional advice of any kind.

3.6 Service Availability

We work to keep GenusOS available continuously but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, emergency repairs, or circumstances beyond our reasonable control. We will provide advance notice of planned downtime where practicable.

4.1 Registration

You must create an account to use the Service. You agree to provide accurate, complete, and current information and to keep that information updated. We may suspend or terminate accounts with inaccurate or misleading registration information.

4.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you become aware of any unauthorized access. We are not liable for losses resulting from unauthorized access caused by your failure to secure your credentials.

4.3 Firm Administrator Responsibility

The administrator of a Firm account is responsible for managing team member access and permissions, ensuring team members comply with these Terms, and promptly revoking access for users who are no longer authorized.

4.4 Client Portal Access

When a Firm grants portal access to Clients, the Firm is responsible for ensuring Clients are informed of and agree to these Terms. We may require Clients to accept these Terms directly upon first portal access.

5.1 Fees and Plans

Access to the Service requires a paid Subscription. Current pricing is available at genusos.com (also accessible at app.genusos.com, genusos.io, and genus-os.com). We reserve the right to change pricing for future Subscription periods with at least 30 days' advance written notice to current subscribers.

5.2 Billing

Subscription fees are billed in advance on a monthly or annual basis as selected at checkout. By providing a payment method, you authorize us to charge all applicable fees automatically. All amounts are in U.S. dollars.

5.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You may cancel at any time through your account settings.

5.4 Refunds

All fees are non-refundable except as required by applicable law or as expressly set forth in a separate written agreement. Cancellation stops future charges but does not entitle you to a refund for any portion of the current billing period.

5.5 Taxes

You are responsible for all applicable taxes, levies, or duties on your purchase, excluding taxes on our net income.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

• Use the Service in violation of any applicable federal, state, or local law or regulation;
• Upload or transmit content that is unlawful, defamatory, fraudulent, obscene, or harmful to others;
• Attempt to gain unauthorized access to any part of the Service, other accounts, or our systems;
• Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure;
• Use the Service to transmit unsolicited commercial communications;
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Service;
• Sublicense, resell, or otherwise transfer your rights under these Terms to any third party except as expressly permitted;
• Use the Service to store or transmit malicious code or to launch cyberattacks of any kind;
• Scrape, mine, or systematically extract data from the Service without our express written permission;
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.

7.1 Ownership

You retain all ownership rights in the data, documents, files, and other content you upload or submit through the Service ("Your Content"). These Terms do not transfer any intellectual property rights in Your Content to us.

7.2 License to Us

By uploading Your Content to the Service, you grant GenusOS, LLC a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transmit, and display Your Content solely to the extent necessary to provide the Service to you. We do not use Your Content to train AI models or for any purpose beyond operating and improving the Service.

7.3 Your Responsibility

You are solely responsible for Your Content. You represent and warrant that you have all rights necessary to upload Your Content and that Your Content does not violate any law or third-party rights. We reserve the right to remove any content that violates these Terms.

7.4 Data Security

We implement industry-standard technical and organizational measures to protect Your Content, including encryption at rest and in transit, role-based access controls, and audit logging. However, no method of electronic storage or transmission is 100% secure. We cannot guarantee absolute security.

The GenusOS platform, including its software, codebase, design, features, trademarks, and all related intellectual property, is owned by Entity Edge IP, LLC and licensed to GenusOS, LLC. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business or personal purposes in accordance with these Terms. No other rights are granted.

"GenusOS" and related marks are trademarks of Entity Edge IP, LLC. You may not use our trademarks without our prior written permission.

Each party agrees to keep the other's Confidential Information strictly confidential and to use it only for the purposes contemplated by these Terms. "Confidential Information" means any non-public information disclosed by one party to the other that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information.

Confidential Information does not include information that: (a) is or becomes publicly available through no breach of these Terms; (b) was already known to the receiving party without restriction; (c) is independently developed by the receiving party without use of the disclosing party's Confidential Information; or (d) is required to be disclosed by law or court order, provided the receiving party gives the disclosing party prompt written notice and reasonable cooperation to seek a protective order.

Our collection and use of personal information is governed by our Privacy Policy, available at genusos.com/privacy (and all associated domains), which is incorporated into these Terms by reference. By using the Service, you consent to the practices described in our Privacy Policy.

The Service integrates with or relies upon third-party services including cloud infrastructure providers, payment processors, AI providers, and communication services. Your use of any third-party service is subject to that provider's own terms and policies. We are not responsible for the practices, availability, or content of any third-party service.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GENUSOS, LLC AND ITS AFFILIATES, INCLUDING ENTITY EDGE IP, LLC AND PATHWAY FINANCIAL, LLC, DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT GENERATED BY AI FEATURES WITHIN THE SERVICE.

NOTHING IN THE SERVICE CONSTITUTES FINANCIAL, INVESTMENT, TAX, OR LEGAL ADVICE. YOU ARE SOLELY RESPONSIBLE FOR YOUR FINANCIAL AND INVESTMENT DECISIONS.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GENUSOS, LLC, ENTITY EDGE IP, LLC, PATHWAY FINANCIAL, LLC, OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO US IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OF LIABILITY FOR CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

You agree to indemnify, defend, and hold harmless GenusOS, LLC, Entity Edge IP, LLC, Pathway Financial, LLC, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service in violation of these Terms; (b) Your Content; (c) your violation of any applicable law or regulation; or (d) your violation of any third-party rights.

15.1 Term

These Terms remain in effect for as long as you maintain an account or Subscription with us.

15.2 Termination by You

You may terminate your account at any time through your account settings or by contacting us at [email protected]. Termination does not entitle you to a refund of prepaid fees.

15.3 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, upon reasonable notice. We may terminate immediately without notice for material violations of these Terms, fraudulent activity, or conduct that poses a security risk to the Service or other users.

15.4 Effect of Termination

Upon termination, your right to access the Service ceases immediately. We will retain Your Content for 30 days following termination, during which time you may request an export. After 30 days, we may delete Your Content in accordance with our data retention policies. Sections that by their nature should survive termination, including Sections 7, 8, 9, 12, 13, 14, and 17, will survive.

16.1 Informal Resolution

Before initiating any legal proceeding, you agree to contact us at [email protected] and attempt to resolve the dispute informally. We will make good-faith efforts to resolve the dispute within 30 days.

16.2 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

16.3 Jurisdiction

Any dispute not resolved informally shall be submitted to the exclusive jurisdiction of the state or federal courts located in Texas. You consent to personal jurisdiction in those courts and waive any objection to venue.

16.4 Waiver of Class Action

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION.

17.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and GenusOS, LLC regarding the Service and supersede all prior agreements and understandings.

17.2 Severability

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

17.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations freely, including in connection with a merger, acquisition, or sale of assets.

17.5 Force Majeure

We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, acts of government, labor disputes, or failures of third-party infrastructure.
